As a result of the business combination, GLAAM and Jaguar Global shareholders will exchange their shares for shares in a new combined company (“NewCo”). Upon closing of the transaction, NewCo is expected to be renamed at a later date, and its ordinary shares are expected to be listed on the Nasdaq Stock Market (“Nasdaq”) under a new ticker symbol.

GLAAM: A True IT Media Product

GLAAM is the world’s first and only large-scale provider of architectural media glass. The Company manufactures an integrated architectural IT product, G-Glass, that combines architectural glass with customizable, large-scale digital media display capabilities. The product allows buildings to be transformed into huge digital art canvases, transmit real-time event broadcasts, and become interactive experiences through sensors and smartphone connectivity. Transaction Terms

The combined company will have an estimated post-transaction enterprise value of $309 million, assuming no redemptions by Jaguar Global public shareholders. Proceeds from the transaction, before the payment of certain transaction expenses, will comprise up to $244 million of cash held in Jaguar Global’s trust account before redemptions, with approximately $200 million in net cash on the balance sheet to fund growth, assuming no redemptions by Jaguar Global public shareholders. The transaction does not include a minimum cash condition.

Jaguar Global and GLAAM’s respective boards of directors have unanimously approved the transaction, which is expected to close in the third quarter of 2023, subject to regulatory and shareholder approvals. GLAAM’s shareholders will roll 100% of their existing GLAAM equity holdings into the combined company and are expected to own approximately 36.1% of the combined company on a non-fully diluted basis immediately following the closing of the proposed business combination, assuming no redemptions by Jaguar Global’s public shareholders in connection with the shareholder meeting of Jaguar Global to vote on, among other things, the business combination.

All references to cash on the balance sheet, available cash from the trust account and retained transaction proceeds are subject to any redemptions by public shareholders of Jaguar Global and payment of transaction expenses.

PRESS RELEASE: Largest US Installation of World’s First Digital Media Architectural-Grade LED Glass Integrated by ANC into New York’s Historic Tin Building at Seaport District in Lower Manhattan

Leading experience design and execution company ANC was selected by acclaimed real estate developer The Howard Hughes Corporation to integrate the newest and most innovative new media technology on the market, GLAAM America’s Media Glass, in its transformation of the historic Tin Building into a new 53,000-square-foot marketplace operated by Jean-Georges Vongerichten. Bringing New York’s storied Tin Building to new life requires a careful blend of history with technology, and ANC’s installation in the Tin Building will be the largest deployment of the fully transparent, LED embedded and construction-grade GLAAM Media Glass in the United States.

As the first of many projects to come out of the ANC/GLAAM integration and operation partnership announced in October of 2020, the Tin Building’s installation of GLAAM Media Glass is an opportunity for the building to be at the cutting edge of media technology.

The original Tin Building was home to the famous Fulton Fish Market, a once-burgeoning fish market dating back to the early 1800’s and the epicenter of wholesale fish trade in the United States. Today, the reconstructed building will serve a new generation in the heart of the Seaport District.

GLAAM Media Glass will cover more than 1,100 square feet of space surrounding the escalators in the heart of the building. While on the escalator, shoppers will have clear views of the marketplace awaiting them. GLAAM America manufactures the innovative architectural element based on each individual project’s needs and ANC will design, distribute, integrate and provide ongoing operation and service of the product for U.S.-based installations of projects like retail developments, sports venues, transportation and directional signage. Based on ANC’s portfolio of unique digital deployments such as Wells Fargo CenterPier 17 at Seaport District NYC and the Power Portal at Rocket Mortgage FieldHouse, the partnership is a natural and complementary union.

Proving the magical possibilities, the product has been installed in more than 250 buildings throughout Asia. Via the GLAAM-ANC partnership, U.S. developers, architects, and owners can now also design and create wondrous, new possibilities with experiential facades and buildings.

GLAAM Media Glass is unique in that it eliminates the compromise of design and building value from obstructed views and blocked natural light from LED screens, bars, mesh and attachments. The embedded micro-LED technology, weatherproofed and protected from the elements, creates a seamless connection between the physical and digital experience. It requires far less maintenance and repair than previous LED offerings, is priced at a similar capital investment and is estimated to provide 100,000 hours of full brightness over its lifetime, thus creating a total lower cost of ownership.

The new product is 100 percent design-built and specified to meet rigid glass performance, durability, energy and aesthetic design requirements. It can be retrofitted to the interior or exterior of an existing façade, or as the primary façade material itself, integrating with market-leading curtain wall systems.

Whereas conventional LED displays create dark spaces behind them, GLAAM Media Glass allows building owners to utilize an entire floor area in the building by creating habitable interior space all the way to the façade. And because it serves as regular glass during the day and a dazzling display at night, GLAAM Media Glass also consumes less power than standard LED displays.

A Perfect Solution for A Historical Landmark Renovation

G-Glass enables the next property revolution by allowing buildings to turn into huge media devices without having to sacrifice transparency. While some benefits of transparency are obvious, like enabling natural sunlight and unobstructed views, there are some benefits of transparency that can go unnoticed. Take the first ever architectural installation in America, at Boston Emerson Colonial Theater, for example.

The building owners wanted to install LED digital signage onto the exterior façade of their building. They ran into problems when the Landmarks Commission of Boston would not allow them to install any LED display products that disrupt the historical aesthetic of the building. The owners explored many LED options from opaque LED screens, to LED bars, and LED mesh, but none of the options were approved, due to the aesthetic disruption that the hardware of these LED display products would cause.

G-Glass was the ONLY solution the Landmark Commission approved due to the full transparency of G-Glass not disrupting the historical aesthetic of the building. About 150 square feet of our P40 product (40 mm pixel pitch) was installed in front of existing windows on the exterior façade, still allowing the existing windows to maintain their transparency and real estate value.

During the day, when G-Glass is turned off, the beautiful, historical exterior façade is still fully preserved. At night, when G-Glass is turned on, the theater is able to display a full range of multimedia video and graphics. It’s important to note that for exterior installations of G-Glass, LED media display is not recommended for daytime visibility, although there are some conditions that would allow for daytime media visibility like cloudy, overcast weather, or shaded conditions.

There are many benefits to transparency and LED media display for building owners. G-Glass is the only solution that can give you FULL transparency AND limitless media and interactive display capabilities.
